Terms of Service
Welcome, and thank you for your interest in DirectBooker, Inc. ("DirectBooker," "we," or "us") and our website available at www.directbooker.ai, our data services provided through third-party platforms, and other services provided by us (collectively, the "Service"). These Terms of Service govern your use of our Service and are a legally binding contract between you and DirectBooker regarding your use of the Service.
PLEASE READ THE FOLLOWING TERMS CAREFULLY:
By accessing or using the Service, you agree that you have read and understood, and, as a condition to your use of the Service, you agree to be bound by, the following terms and conditions, including DirectBooker’s Privacy Policy (together, these "Terms"). Your use of the Service, and DirectBooker’s provision of the Service to you, constitutes an agreement by DirectBooker and by you to be bound by these Terms.
ARBITRATION NOTICE. Except for certain kinds of disputes described in Section 12 (Dispute Resolution and Arbitration), you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and BY ACCEPTING THESE TERMS, YOU AND DIRECTBOOKER ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.
Overview of DirectBooker’s Service
DirectBooker provides hotel pricing, availability, and booking information through multiple channels:
(a) Our Website: DirectBooker operates a website at www.directbooker.ai that includes a blog and informational content about hotel booking practices.
(b) Data Services Through Third-Party Platforms: DirectBooker provides hotel data to third-party platforms, including artificial intelligence assistants and other technology services, through technical integrations. When you enable or use DirectBooker through a third-party platform, you are using our Service and these Terms apply.
DirectBooker is an informational service. We provide data that enables users to discover hotels and access booking links, but we do not make reservations, process bookings, or facilitate transactions between travelers and hotels or other accommodation providers ("Providers"). Any bookings you make are directly with the Provider through their own website or booking system (each, a "Booking").
DirectBooker's Business Model. DirectBooker operates on a commission-based business model. When you complete a booking with a hotel or Provider through a link provided by DirectBooker, we may receive a commission or other compensation from that hotel or Provider. This compensation does not increase the price you pay for your booking.
Using the DirectBooker Website. You must be at least 13 years old to use the Service. By agreeing to these Terms (whether by accessing our website, enabling DirectBooker through a third-party platform, or otherwise using our Service), you represent and warrant to us that: (a) you are at least 13 years old; and (b) your acceptance of these Terms and your use of the Service is in compliance with any and all applicable laws and regulations.
Your Right to Use the Service
Limited License. Subject to your complete and ongoing compliance with these Terms, DirectBooker grants you, solely for your personal, non-commercial use, a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service. This includes accessing our website and using hotel data provided by DirectBooker through third-party platforms you have authorized.
License Restrictions. You may not: (a) reproduce, distribute, publicly display, publicly perform, or create derivative works of the Service; (b) attempt to make modifications to the Service; or (c) interfere with or circumvent any feature of the Service.
Feedback. If you choose to provide input and suggestions regarding existing functionalities, problems with or proposed modifications or improvements to the Service ("Feedback"), you hereby grant DirectBooker an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid right and license to exploit the Feedback in any manner and for any purpose.
DirectBooker Owns the Service
The Service is owned and operated by DirectBooker. All Content included in the Service are the property of DirectBooker or its third-party licensors. Except as expressly authorized by DirectBooker, you may not make use of the Content.
Hotel Information and Third-Party Bookings
DirectBooker's Role and Limitations. DirectBooker is a hotel information service and does not make Bookings, accept reservations, or collect payments from travelers. DirectBooker provides information only. DirectBooker is not responsible for: (a) any Booking you make; (b) the content, terms, or policies of any website to which the Service provides a link or reference.
Financial Relationships with Providers. DirectBooker has commercial relationships with many hotels and Providers and may receive commissions or other compensation when you complete a booking through a link we provide.
Prohibited Conduct
BY USING THE SERVICE, YOU AGREE NOT TO:
- use the Service for any illegal purpose or in violation of any local, state, national, or international law;
- violate any right of a third party, including by infringing or misappropriating any third-party intellectual property right;
- access, search, or otherwise use any portion of the Service through any unauthorized means.
Modifications to these Terms
We may, from time to time, change these Terms. Please check these Terms periodically for changes. Revisions will be effective immediately on a going-forward basis. If you do not agree to the modified Terms, then you should discontinue your use of the Service.
Term, Termination, and Changes to the Service
Term. These Terms are effective beginning when you access or use the Service or otherwise accept the Terms, and ending when terminated as described in the Termination Section below.
Termination. If you violate any provision of these Terms, then these Terms automatically terminate, and you no longer have our permission to access or use the Service.
Indemnity
To the fullest extent permitted by law, you are responsible for your use of the Service, and you will defend and indemnify DirectBooker from and against every claim brought by a third party arising out of or connected with: (a) your unauthorized use of the Service;
No Warranties by DirectBooker
THE SERVICE AND ALL CONTENT AVAILABLE THROUGH THE SERVICE ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS. DIRECTBOOKER DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL DIRECTBOOKER BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.
Dispute Resolution and Arbitration
Generally. You and DirectBooker agree that every dispute arising in connection with these Terms, the Service, or communications from us will be resolved through binding arbitration.
Exceptions. Nothing in these Terms will be deemed to waive or limit the right of either party to bring an individual action in small claims court.
Opt-Out. You may opt out of the provisions of this Section within 30 days after the date that you agree to these Terms by sending a letter to DirectBooker.
Miscellaneous
General Terms. These Terms, including the Privacy Policy and any other agreements expressly incorporated by reference into these Terms, are the entire and exclusive understanding and agreement between you and DirectBooker regarding your use of the Service.
